Choice of entity. Should you be a corporation, S corporation, limited liability company, sole proprietor or partnership? There is no one answer to this question. I will sit down with you and discuss your business, goals and the legal and tax differences between each of the above entities. This will give you sufficient information to determine which is right for you.
Formation. Based upon your entity selection, I will draft and file all the necessary documents to correctly form your company, including all IRS and Oregon Department of Revenue required filings.
Ongoing maintenance. After the company is formed it must be properly maintained. I will serve as your registered agent and inform you when annual reports are due, when annual meetings should be held and what other corporate formalities are required. Following the formalities of each entity is crucial to maintaining liability protection and receiving the correct tax treatment. In addition, I can assist you with drafting employment polices and procedures, contracts and other ongoing business documents.
Acquisitions and Sales. I can assist with the negotiation, contract drafting and provide advice on the tax implications of buying or selling a business.
Litigation. Should your business ever need litigation services, I am able to represent you in state and federal courts in most business disputes.
